Terms of Service

These Terms of Service ("Terms") govern your access to and use of Signal Vault's subscription services, Discord community, educational content, and all associated platforms (collectively, "Services"). By subscribing, accessing our Services, or joining our Discord community, you agree to these Terms in their entirety. If you do not agree, do not use our Services.

Signal Vault is operated as a private educational community, not a registered financial service. Nothing in these Terms or our Services creates a client-advisor relationship of any kind.

1. Service Description

Signal Vault provides an educational subscription platform delivering the following through a private Discord server:

• Trading signal alerts — real-time scanner notifications for options-relevant technical setups including VWAP reclaim, Gap and Go patterns, and multi-timeframe EMA cloud alignment
• Daily market briefs — pre-market reports posted at 9:15 AM ET covering key levels, VIX regime, and market bias
• Dark pool flow alerts — institutional options activity filtered for meaningful positioning signals
• Opening Move signals — first actionable setup of the trading day posted at approximately 9:38 AM ET
• Educational trade recaps — post-trade analysis explaining entry rationale, exit execution, and signal quality review
• Backtested strategy insights — historical performance data and strategy research shared for educational purposes
• Community access — participation in a private Discord server of vetted active traders

All signals and content are provided for educational and informational purposes only. See Section 2 for the full educational disclaimer.

2. Educational Disclaimer — Please Read Carefully

Signal Vault and its operators are not registered investment advisors, broker-dealers, commodity trading advisors, or financial planners under any applicable law. We do not manage assets, accept trading discretion, or receive compensation tied to trading outcomes.

3. Subscription Plans and Pricing

3.1 Active Member Tiers

Signal Vault limits active memberships to 20 total slots. Slots are allocated across two tiers:

• ⚡ Pro — $99/month or $990/year
• 🏆 Elite — $150/month or $1,500/year

Annual plans are priced at 10 months, providing the equivalent of 2 months free versus monthly billing.

3.2 Early Adopter Pricing

The first 15 subscribing members qualify for a permanent 30% discount:

• ⚡ Pro Early Adopter — $69/month or $690/year
• 🏆 Elite Early Adopter — $105/month or $1,050/year

Early Adopter pricing is applied automatically at checkout while slots remain available. Once all 15 slots are claimed, new subscribers pay standard pricing.

3.3 Grandfathered Rate Protection

Early Adopters who maintain an active subscription are contractually guaranteed their discounted rate indefinitely, subject to the following conditions:

• The guarantee applies only while the subscription remains continuously active.
• Upgrading from ⚡ Pro to 🏆 Elite preserves the 30% discount at the new tier's base price.
• Downgrading from 🏆 Elite to ⚡ Pro preserves the 30% discount at the lower tier's base price.
• Cancellation forfeits grandfathered pricing. Reinstatement within 45 days restores it; reinstatement after 45 days does not. See Section 5.

This rate protection is a binding commitment on Signal Vault's part. We will not unilaterally increase the rates of active Early Adopter subscribers.

3.4 Waitlist

Signal Vault's active membership is capped at 20 lifetime slots. Once all 20 slots are claimed, the tier is closed permanently — cancellations do not reopen slots. At that point, new members may join a waitlist by submitting a non-refundable deposit, which is fully applied as a credit toward their first month's payment when a future slot or tier opens. Waitlist pricing tiers will be published when the community reaches that stage.

Waitlist deposits are strictly non-refundable under any circumstance.

4. Billing and Automatic Renewal

Subscriptions are billed on a recurring basis (monthly or annual) through Stripe, Inc. By subscribing, you authorize Stripe to automatically charge your payment method on the applicable billing cycle until you cancel.

All prices are denominated in USD. Stripe is responsible for payment processing, and their terms apply to the payment transaction.

4.1 Refund Policy

We offer a 7-day refund window for your first subscription payment only. To request a refund, contact us within 7 days of the initial charge via the Signal Vault Discord support channel or at support@signalvault.com. After 7 days, subscription payments are non-refundable.

Renewals (monthly and annual) are non-refundable. Waitlist deposits are non-refundable under any circumstance.

4.2 Failed Payments

If a scheduled payment fails, Stripe will attempt to retry the charge. Your Discord access may be suspended if payment remains unresolved after 7 days. Following a successful retry, access will be restored. If payment cannot be collected after reasonable retry attempts, your subscription will be canceled and your slot forfeited.

4.3 Price Changes

Signal Vault may change pricing for new subscribers at any time. Existing subscribers will receive at least 30 days' notice of any pricing change that affects their account. Early Adopter grandfathered rates are exempt from price change notifications because they are permanently fixed.

5. Cancellation Policy

You may cancel your subscription at any time through the Stripe billing portal accessible via your Account page. Cancellation takes effect at the end of the current paid billing period — you retain full access through the date already paid.

Upon cancellation:

• Access continues through the end of your current paid period.
• Your ⚡ Pro or 🏆 Elite Discord role is revoked when the period ends.
• Your grandfathered Early Adopter rate is forfeited.
• Your active member slot becomes available to the next waitlist member.

5.1 Reinstatement Window

If you resubscribe within 45 days of cancellation, Signal Vault will reinstate your prior grandfathered rate, provided an active slot is available. After 45 days, you rejoin as a new subscriber at the current pricing and availability.

Reinstatement of grandfathered pricing requires contacting us directly at support@signalvault.com — it is not automatic through Stripe checkout.

6. Discord Community Rules

All members of the Signal Vault Discord server — subscribers and free members alike — are bound by the following Community Rules. These rules exist to protect the educational integrity of the community and ensure a positive experience for all members.

1. Educational community only. Signal Vault exists to learn and improve as traders. All discussions must remain in the spirit of education and constructive analysis.
2. No financial advice. Do not post trade recommendations, tell others to buy or sell specific securities, or present your personal trades as guidance for others. Share what you're seeing; do not instruct others what to do.
3. Respect all members. Treat every member with courtesy and professionalism regardless of experience level. Personal attacks, dismissive responses, or condescending behavior are not tolerated.
4. No profanity or inappropriate language. Keep all communication professional. This includes text, images, video, and voice channels.
5. No self-promotion or solicitation. Do not promote external services, Discord servers, courses, newsletters, social media accounts, referral links, or any commercial offering — including your own.
6. No sharing of proprietary content. Signal Vault signal alerts, strategy details, and subscriber-only content are for members only. Do not screenshot, record, share, or redistribute paid content outside the server under any circumstances.
7. Keep channels on topic. Use the appropriate channel for your message. Off-topic content will be removed. If you're unsure where something belongs, ask a moderator.
8. No market manipulation discussion. Do not coordinate, suggest, or discuss activities that could constitute market manipulation, pump-and-dump schemes, or coordinated trading designed to move prices.
9. Manage your own risk. Do not pressure other members to take specific positions or express frustration with others for not following your trades. Everyone manages their own capital independently.
10. No politics or off-topic controversy. Political discussions, divisive social topics, and unrelated controversy have no place in this community. Keep it about trading and markets.

6.1 Consequence Structure

Rule violations are handled progressively:

• First offense: Formal warning issued by a moderator.
• Second offense: Temporary mute (24–48 hours, at moderator discretion).
• Third offense: Subscriber role removal — loss of all signal channel access. Subscription remains active but Discord access is revoked. No refund is issued.
• Severe violations: Immediate permanent ban from the server (see Section 6.2).

6.2 Immediate Ban Offenses

The following actions result in immediate permanent ban and immediate subscription cancellation without refund:

• Sharing proprietary Signal Vault content outside the server (screenshots, exports, redistribution)
• Soliciting Signal Vault members via Direct Message for commercial purposes
• Hate speech, discrimination, or harassment targeting any member
• Market manipulation coordination, pump-and-dump discussions, or illegal trading activity
• Impersonating Signal Vault staff, moderators, or other members
• Attempting to circumvent access controls or subscription verification

Moderators have final discretion in determining the appropriate response to any violation. Signal Vault reserves the right to remove any member from the server at any time without warning if their presence is deemed harmful to the community.

7. Intellectual Property

All Signal Vault content — including but not limited to signal alerts, educational write-ups, strategy documentation, backtesting data, Discord messages from staff and moderators, website content, and branding — is the exclusive intellectual property of Signal Vault and its operators.

You are granted a limited, non-exclusive, non-transferable license to access and use Signal Vault content for your own personal, non-commercial educational purposes only. This license does not permit you to:

• Copy, reproduce, or store Signal Vault content for redistribution
• Sell, resell, or sublicense access to Signal Vault content or community
• Create derivative works based on Signal Vault strategies or systems
• Use Signal Vault's name, branding, or performance data in marketing of your own services

8. User Responsibilities and Prohibited Activities

By using Signal Vault's Services, you agree not to:

• Use our Services for any unlawful purpose or in violation of any applicable law
• Attempt to gain unauthorized access to any part of our Services or Discord server
• Share your subscription access with any other person
• Use our signals as a basis for providing financial advice to others
• Automate, scrape, or systematically collect Signal Vault content without written permission
• Misrepresent your identity or Discord account during the verification process
• Attempt to coordinate trading among Signal Vault members in a manner that constitutes market manipulation

9. Account and Access Termination

Signal Vault may suspend or terminate your access to the Services and Discord server, with or without notice and with or without refund, for:

• Violation of any provision of these Terms
• Violation of Discord's Terms of Service
• Commission of an Immediate Ban offense (Section 6.2)
• Fraudulent payment or chargebacks without basis
• Any conduct that Signal Vault determines, in its sole discretion, is harmful to the community or our business

Upon termination for cause, no refund will be issued for any remaining subscription period. Upon termination, your license to use Signal Vault content immediately terminates, and you must cease all use and delete any stored content.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Signal Vault and its operators, moderators, contributors, and affiliates shall not be liable for:

• Any trading losses, investment losses, or financial damages of any kind incurred as a result of acting on Signal Vault signals, content, or community discussion
• Indirect, incidental, consequential, special, or punitive damages of any nature
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from service interruptions, Discord outages, or technical failures

Our total aggregate liability to you for any and all claims arising from or related to these Terms or our Services shall not exceed the subscription fees you paid to Signal Vault in the 30 days immediately preceding the claim.

Some jurisdictions do not permit the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to defend, indemnify, and hold harmless Signal Vault and its operators, moderators, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your trading activities based on Signal Vault content; or (d) any claim by a third party related to your use of our Services.

12. Privacy and Data Handling

12.1 Discord OAuth

Signal Vault's payment website uses Discord OAuth2 to verify your server membership and roles. During this process, we access your Discord username, discriminator, avatar, and guild role list for the Signal Vault server only. No Discord data is transmitted to or stored on Signal Vault servers. Role verification occurs entirely client-side in your browser session and is discarded when you close the tab.

12.2 Payment Processing

All payment transactions are processed by Stripe, Inc. Signal Vault does not receive, store, or have access to your full payment card number, CVV, or banking credentials. Stripe's Privacy Policy governs the handling of your payment data.

12.3 Billing Records

Signal Vault retains billing records (name, email, subscription tier, payment history) as required by applicable law, typically for a period of 7 years. This data is used solely for billing management, subscriber support, and legal compliance.

12.4 Discord Server Data

By joining the Signal Vault Discord server, you agree to Discord's Terms of Service and Privacy Policy. Signal Vault moderators may review your server activity (messages, reactions, join/leave events) to enforce community rules.

13. Modifications to These Terms

Signal Vault reserves the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by announcing them in the Signal Vault Discord server's announcements channel. Non-material changes (clarifications, typo corrections, formatting) may be made without notice.

Your continued use of the Services following the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must cancel your subscription before the effective date.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States of America, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising from or relating to these Terms or Signal Vault's Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, conducted in English. The arbitrator's decision shall be final and binding.

Class action waiver: You expressly waive any right to participate in any class action lawsuit, class-wide arbitration, or any other representative or consolidated proceeding against Signal Vault.

Nothing in this section prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Signal Vault with respect to the Services and supersede all prior agreements, understandings, and communications on the subject matter.
